One Person Company (OPC) is business entity recognised by the Companies Act 2013 with (i) a sole member and (ii) limited liability. When one person does business of his own with unlimited liability , it’s termed as proprietor ship. But when the same is registered with Ministry of Corporate Affairs with limited liability to the proprietor, it becomes One Person Company (OPC).
Only a natural person who is an Indian citizen and resident in India shall be eligible to act as a member of an OPC (The term “resident in India” means a person who has stayed in India for a period of not less than one hundred and eighty-two days during the immediately preceding one financial year.) A person can form only one “One Person Company (OPC)”.
One individual himself can do a business with limited liability , if his/her business is incorporated as One Person Company (OPC). Besides, his/her business acquires corporate status and recognition.

Coin/formulate the Company Name
2 STEP
Apply to Ministry of Corporate Affairs for getting name for the proposed One Person Company (OPC).

Plse. get Digital Signature for promoter.

Prepare Memorandum of Association ( MoA) & Articles of Association( AoA)
5 STEP
Submit application for the registration of the One Person Company (OPC) along with the required documents and prescribed government fees
Coin/formulate the Company Name in the following manner:
Mainly it builds the company brand and preferably be a coined word
The second part of the name should suggest the business activity of the company
Name of the company must end with ” ( OPC) Private Ltd” as a suffix
Eg: Alpha Manufacturing ( OPC) Private Ltd.
Plse. note that name proposed shall not same or similar to the name of existing company or LLP.

Plse. also note that that name proposed shall not same or similar to a already registered trademark or is subject matter of an application pending for registration under the Trade Marks Act. The following documents of the promoter and his/her nominee are required:
01. Copy of PAN Card
02. A document for Proof of identity- Voters Identity Card or Passport or Driving License + copy of Aadhaar Card.
03. A document as residential proof- Bank Statement or Electricity Bill or Telephone bill or Mobile bill ( not older than two months)
04. Proof of address of registered office of One Person Company (OPC) – Copy of Rent agreement (If rented property) and Telephone Bill /Electricity/ Water bill/Gas bill (Business Place) ( not older than two months) +Landlord NOC.
05. Passport size photograph
